Corporate Governance

The Board of Directors is responsible for the overall performance of the Company including the establishment and maintenance of good corporate governance. This encompasses the processes by which the Company is directed, controlled and held to account; it is concerned with improving the performance of the Company for the benefit of shareholders and other stakeholders such as our clients.

The Chief Executive Officer is responsible for the day-to-day operations of the Company, subject to any particular limits or restrictions set by the Board.

The Board’s responsibilities include:

  • Overall responsibility for the strategic direction of the Company.
  • Appointment of the Managing Director and management succession.
  • Key decision making such as budgets, strategic plans, acquisition proposals and significant capital expenditure.
  • Reviewing financial information.
  • Monitoring code of conduct compliance.
  • Monitoring compliance with statutory, legal and regulatory requirements.
